PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE EVERGARDEN PLATFORM. BY REGISTERING AN ACCOUNT, ACCESSING, OR USING THE PLATFORM IN ANY WAY, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT USE THE PLATFORM.

1. Introduction

Welcome to Evergarden Technologies Private Limited. These Terms and Conditions ("Terms," "Agreement") constitute a legally binding contract between you ("User," "you," or "your") and Evergarden ("Evergarden," "we," "us," or "our"), the operator of the digital marketplace platform accessible at www.evergarden.pro and related mobile or desktop applications (collectively, the "Platform").

Evergarden is a digital marketplace that connects independent sellers ("Sellers") with buyers ("Buyers") for the purchase and sale of digital products including, but not limited to, eBooks and PDFs, software applications and plugins, online courses and video content, design templates and creative assets, and music and audio files (collectively, "Digital Products").

Evergarden acts solely as an intermediary marketplace platform. Evergarden is not a party to any transaction between Buyers and Sellers, does not own, endorse, or warrant any Digital Product listed on the Platform, and is not responsible for the quality, legality, accuracy, or fitness for purpose of any Digital Product sold through the Platform.

These Terms apply to all Users of the Platform, including visitors, registered Buyers, and registered Sellers. Additional terms may apply to specific services or features and will be presented to you at the relevant time.

2. Definitions

In these Terms, the following words and expressions shall have the meanings set out below:

  • "Platform": The Evergarden website, mobile application, and any related services or tools operated by Evergarden at www.evergarden.pro
  • "User": Any individual or entity that accesses or uses the Platform, whether as a Buyer, Seller, or visitor.
  • "Buyer": A registered User who purchases Digital Products on the Platform.
  • "Seller": A registered User who lists and sells Digital Products on the Platform.
  • "Digital Product": Any digital file, content, or access credential sold through the Platform.
  • "Listing": A Seller's product page on the Platform describing and offering a Digital Product for sale.
  • "Transaction": A completed purchase by a Buyer of a Digital Product from a Seller through the Platform.
  • "Commission": The fee retained by Evergarden on each Transaction, set at 10% of the sale price.
  • "Payout": The net proceeds of a Transaction remitted to the Seller after deduction of the Commission and any applicable payment processor fees.

3. Eligibility

3.1 Buyers

To register as a Buyer, you must:

  • Be at least 13 years of age.
  • Provide accurate, current, and complete registration information.
  • Maintain the security of your account credentials and be responsible for all activity that occurs under your account.

3.2 Sellers

To register as a Seller and receive payouts, you must:

  • Be at least 18 years of age. Individuals under 18 may not register as Sellers, regardless of parental consent.
  • Be legally capable of entering into a binding contract under Applicable Law.
  • Hold all rights, licences, and permissions necessary to sell the Digital Products you list on the Platform.
  • Comply with all tax, regulatory, and legal obligations applicable to your commercial activity.

3.3 Geographic Restrictions

The Platform is available globally. However, Evergarden reserves the right to restrict access to Users in certain jurisdictions where doing so is required by Applicable Law, sanctions obligations, or operational necessity.

4. Account Registration and Security

To access the full features of the Platform, you must register for an account. You may register using your email address and a password, or via a supported third-party authentication service (currently Google or Facebook). By using a third-party login, you authorise Evergarden to access and use the information provided by that service in accordance with our Privacy Policy.

You are solely responsible for maintaining the confidentiality of your login credentials. You must notify Evergarden immediately at contact@evergarden.pro if you become aware of any unauthorised access to or use of your account.

5. The Platform and Evergarden's Role

Evergarden provides a technology platform that facilitates transactions between independent Sellers and Buyers. Evergarden does not itself sell Digital Products and is not a party to any agreement entered into between a Buyer and a Seller. The contract for the sale and purchase of any Digital Product is formed directly between the Buyer and the Seller.

6. Seller Terms

Sellers retain ownership of their intellectual property. By creating a listing, you represent that you hold all licenses needed to sell the Digital Products. Evergarden charges a commission of 10% (ten percent) of the gross sale price (excluding payment processor fees) on each completed Transaction.

Payouts are processed on demand and are available to Sellers instantly upon completion of a Transaction, subject to successful payment confirmation and no active disputes.

7. Buyer Terms

When you purchase a Digital Product, you are entering into a direct contract with the Seller. Payment is processed securely by Razorpay or other designated payment gateways. Evergarden does not store your full payment card details.

Unless otherwise specified, the purchase of a Digital Product grants you a non-exclusive, non-transferable, personal licence to use the Digital Product for your own personal or internal business purposes only.

8. Prohibited Content and Conduct

Users are strictly prohibited from listing misleading, fraudulent, or fake products, pirated software, malware, hate speech, or child exploitation materials. Evergarden reserves the right to suspend or terminate accounts in violation of these guidelines.

9. Intellectual Property

The Platform, design, and trademarks are owned by Evergarden. For intellectual property notices or copyright claims, please send a notice to contact@evergarden.pro.

10. Disputes Between Buyers and Sellers

Users are encouraged to resolve disputes directly. Escalate unresolved disputes to contact@evergarden.pro.

Any legal disputes that cannot be settled through mediation shall be referred to arbitration in Mumbai, India, in accordance with the Arbitration and Conciliation Act, 1996.
